Version 1.0 · Effective November 1, 2026
This Referral Partner Agreement (the “Agreement”) is between Orange Home Pro Incorporated, a Florida corporation doing business as OrangeHomePro and operating orangehomepro.com (“OrangeHomePro”), and the contractor named in the signature section below (“Contractor”). It takes effect on the date Contractor signs.
1. Services
1.1 OrangeHomePro operates orangehomepro.com, which markets home and business services to customers in Central Florida and forwards customer requests (“Leads”) to featured contractors.
1.2 OrangeHomePro will deliver each Lead to Contractor by email or text message, including the customer’s name, phone number, ZIP code, service requested and job details the customer provides.
1.3 OrangeHomePro is a referral and marketing service. It does not perform, supervise, price or guarantee any contracting work.
2. Trade, territory and exclusivity
2.1 Trade and territory. This Agreement covers the trade(s) and counties Contractor selects in the signature section (the “Trade” and “Territory”), and any additional trades or counties both parties agree to in writing.
2.2 Exclusivity. Contractor will be the only featured contractor in its Trade in its Territory while this Agreement is in effect, unless OrangeHomePro told Contractor in writing before signing that the spot is shared, or section 2.3 applies.
2.3 Adding other contractors. If Contractor does not respond to Leads within the time required in section 5 for two consecutive months, or tells OrangeHomePro it cannot take additional work, OrangeHomePro may feature other contractors in the Trade and Territory after 30 days’ written notice. Contractor may then end this Agreement under section 9.
3. Referral fee
3.1 Success fee. Contractor will pay OrangeHomePro a referral fee of ten percent (10%) of the Contract Price of every Closed Job (the “Success Fee”). There is no signup fee and no monthly fee, and Contractor owes nothing for Leads that do not become Closed Jobs.
3.2 Closed Job means any work Contractor agrees to perform for a customer, or for anyone at the same property or business, who first contacted Contractor through a Lead, if the work is agreed within twelve (12) months after that Lead was delivered.
3.3 Contract Price means the total amount the customer pays Contractor for the job, including change orders and add-on work, but excluding sales tax and permit fees passed through to the customer at cost.
3.4 Example. Contractor wins a $6,000 job from a Lead and collects a $1,500 deposit. The Success Fee on the deposit is $150. The remaining $450 is due as Contractor collects the balance.
4. Reporting and payment
4.1 Weekly reports. Every Monday, Contractor will report the status of each Lead received in the prior week as won, pending or lost at orangehomepro.com/report-a-job or another method OrangeHomePro approves in writing. For each won job, Contractor will report the customer name, job ZIP code, Contract Price and expected payment dates.
4.2 Updates. Contractor will update each pending Lead until it is won or lost, and will report each customer payment on a Closed Job, including deposits, within seven (7) days of receiving it.
4.3 When the fee is due. The Success Fee is due within ten (10) days after Contractor receives each customer payment, in proportion to the amount received.
4.4 Invoicing and auto-pay. OrangeHomePro will invoice Contractor based on Contractor’s reports. Contractor will keep a bank account or card on file and authorizes OrangeHomePro to charge it for each invoice when due.
4.5 Late payment. Unpaid balances accrue a late fee of 1.5% per month or the maximum allowed by law, whichever is less. OrangeHomePro may pause Leads while any balance is more than fifteen (15) days past due.
4.6 Customer follow-up. OrangeHomePro may contact customers it referred to confirm whether they hired Contractor, the approximate job price and their satisfaction.
4.7 Records. Contractor will keep estimates, contracts and invoices for every Lead for two (2) years and provide copies within seven (7) days of OrangeHomePro’s written request.
4.8 Unreported jobs. If Contractor fails to report a Closed Job as required, Contractor will pay two (2) times the Success Fee for that job, and OrangeHomePro may end this Agreement immediately.
5. Contractor’s promises
Contractor will:
- hold and keep active every state and local license, registration and business tax receipt required for its work, and notify OrangeHomePro within three (3) days of any suspension, lapse or disciplinary action;
- carry commercial general liability insurance, and workers’ compensation as required by Florida law, and provide certificates of insurance on request;
- contact each customer within one (1) business day after receiving a Lead;
- provide accurate business information, license number, photos and descriptions for display on orangehomepro.com, and report any changes promptly;
- give customers written estimates and perform all work professionally, safely and in compliance with applicable laws, permits and building codes; and
- treat customers courteously and resolve complaints in good faith.
6. Relationship of the parties
6.1 Independent businesses. Contractor alone contracts with, prices for and performs work for customers, and is solely responsible for its work, employees, subcontractors, warranties, taxes and permits. Neither party is an employee, partner, joint venturer or agent of the other.
6.2 No guarantee. OrangeHomePro does not guarantee any number of Leads, Closed Jobs or revenue.
6.3 Advertising. OrangeHomePro may display Contractor’s name, logo, license number, photos and service description on orangehomepro.com and in its marketing, and will state on its website that it is a referral service and that featured contractors pay a fee.
7. Reviews and customer data
7.1 Reviews. OrangeHomePro may publish customer reviews of Contractor. Contractor may post one public reply to each review. Contractor will not write, buy or offer anything of value for reviews, or ask OrangeHomePro to remove a truthful review. OrangeHomePro may remove reviews that are fake, abusive or not from a real customer.
7.2 Customer data. Contractor will use Lead information only to respond to and serve that customer, will not sell or share it, and will follow applicable privacy and telemarketing laws, including any customer request not to be contacted.
8. Liability
8.1 Indemnification. Contractor will defend, indemnify and hold harmless OrangeHomePro and its owners from all claims, damages, losses and costs, including reasonable attorneys’ fees, arising from Contractor’s work, products, employees, subcontractors or breach of this Agreement.
8.2 Limit of liability. OrangeHomePro’s total liability to Contractor under this Agreement will not exceed the Success Fees Contractor paid in the three (3) months before the claim arose. Neither party is liable for lost profits or indirect damages.
9. Term and termination
9.1 Term. This Agreement continues month to month from the date Contractor signs until ended under this section.
9.2 Ending for any reason. Either party may end this Agreement by giving the other thirty (30) days’ written notice.
9.3 Ending immediately. OrangeHomePro may end this Agreement immediately by written notice if Contractor’s required license or insurance lapses, Contractor fails to report a Closed Job, Contractor is more than thirty (30) days late on any payment, or OrangeHomePro receives repeated substantiated customer complaints.
9.4 After the Agreement ends. The Success Fee continues to apply to any Closed Job from a Lead delivered before this Agreement ended, if the job is agreed within twelve (12) months after that Lead was delivered. Sections 3, 4, 7.2, 8 and 10 survive the end of this Agreement.
10. General terms
10.1 Governing law and venue. Florida law governs this Agreement. Any dispute will be brought in the state courts located in Orange County, Florida.
10.2 Notices. Notices must be in writing and sent by email to the email address Contractor provides when signing and to the email address OrangeHomePro uses to send Contractor’s signed copy.
10.3 Changes. This Agreement may be changed only in a writing signed or electronically accepted by both parties.
10.4 Entire agreement. This is the complete agreement between the parties about its subject and replaces all earlier discussions.
10.5 Severability. If any part of this Agreement is found unenforceable, the rest remains in effect.
10.6 Electronic signatures. The parties agree to sign this Agreement electronically. Contractor’s typed name in the signature section, together with the checkboxes, is Contractor’s legal signature. OrangeHomePro accepts this Agreement when it sends Contractor a copy of the signed Agreement by email.
